These Terms of Service ("Terms") govern your access to and use of the K-POPCORN website, online store, content, features, and related services (collectively, the "Services"). The Services are operated by K-POPCORN, a Seoulful Foods brand ("K-POPCORN," "we," "us," or "our").

By accessing the Services or placing an order, you agree to these Terms and our Privacy Policy, Shipping Policy, and Returns and Refunds Policy. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be legally able to enter into a binding agreement to use the Services or make a purchase. If you are not the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian.

If you create an account, you are responsible for providing accurate information, protecting your credentials, and all activity under your account. Notify us promptly if you suspect unauthorized use.

2. Products and Information

We try to display product descriptions, ingredients, packaging, colors, sizes, availability, and images accurately. Packaging, artwork, ingredients, and other product details may be updated, and screens may display colors differently. Product packaging delivered to you contains the controlling information for ingredients, allergens, nutrition, net weight, storage, and best-by details.

K-POPCORN is initially offered in 3-pack bundles. Bundle configurations, flavors, pricing, and availability may change, and the details displayed on the applicable product page at the time of purchase will control.

We may limit quantities, discontinue products, or change product information at any time. Availability is not guaranteed until an order is accepted and fulfilled.

3. Food, Allergens, and Safety

Read the ingredient list and allergen statement on the package before consuming any product, including each time you repurchase because formulations may change. Do not consume a product if the package is open, damaged, swollen, leaking, past its stated date, or otherwise appears unsafe.

Information on the Site is general product information and is not medical, nutritional, or dietary advice. If you have a food allergy, intolerance, medical condition, or dietary concern, consult a qualified healthcare professional and contact us before purchasing if you need clarification.

4. Prices, Taxes, and Payment

Prices are shown in U.S. dollars unless stated otherwise. Prices, promotions, and availability may change without notice, but changes will not affect an accepted order except when required to correct an obvious error or by law. Shipping charges and applicable taxes are shown at checkout.

You authorize us and our payment providers to charge the payment method submitted for the total amount shown at checkout. You represent that you are authorized to use that payment method and that your billing information is accurate.

5. Orders

An order confirmation acknowledges that we received your order; it does not necessarily mean we accepted it. We may reject, limit, or cancel an order for reasons such as inventory shortages, suspected fraud, payment issues, pricing or product errors, shipping restrictions, or misuse of a promotion.

If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method. We may contact you to verify information before accepting or fulfilling an order.

6. Shipping, Returns, and Refunds

Shipping is governed by our Shipping Policy. Returns, replacements, and refunds are governed by our Returns and Refunds Policy. Those policies are incorporated into these Terms. Risk of loss and title pass as provided by applicable law and the selected carrier terms; nothing in these Terms limits rights that cannot legally be waived.

7. Promotions and Discount Codes

Promotions and discount codes are subject to the terms displayed with the offer. Unless stated otherwise, they may not be combined, exchanged for cash, applied retroactively, transferred, or used after expiration. We may cancel or modify a promotion where permitted by law, including in cases of error, fraud, or abuse.

8. Intellectual Property

The Services and their content—including names, logos, trademarks, product artwork, photographs, graphics, copy, videos, designs, and software—are owned by or licensed to K-POPCORN and are protected by intellectual-property laws. You may use the Services only for personal, non-commercial shopping purposes. No content may be copied, reproduced, modified, distributed, sold, or exploited without prior written permission, except as permitted by law.

9. Reviews, Feedback, and Other Submissions

If you submit a review, photo, suggestion, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person's rights. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, display, and distribute the submission in connection with our business and marketing, subject to applicable law and our Privacy Policy.

We may remove or decline to publish content that is unlawful, misleading, abusive, infringing, or otherwise inappropriate. We are not obligated to treat unsolicited ideas as confidential or provide compensation for them.

10. Prohibited Uses

You may not use the Services to:

violate any law or another person's rights;

submit false, fraudulent, abusive, harassing, defamatory, or harmful content;

interfere with the security, operation, or availability of the Services;

introduce malware, scrape data without permission, bypass access restrictions, or probe for vulnerabilities;

impersonate another person or misrepresent your affiliation;

make fraudulent purchases, misuse promotions, or interfere with another customer's order; or

use our content, trademarks, or Services for unauthorized commercial purposes.

11. Third-Party Services and Links

The Services may use or link to third-party platforms, payment services, social networks, or websites. We do not control and are not responsible for third-party content, terms, privacy practices, availability, or security. Your use of a third-party service is governed by its own terms.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. We disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will always be uninterrupted, secure, error-free, or free of harmful components.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, K-POPCORN and its owners, affiliates, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the Services or products.

To the fullest extent permitted by law, our total liability for a claim relating to a purchase will not exceed the amount you paid for the product giving rise to the claim. These limits do not apply where liability cannot legally be limited, including liability for fraud, willful misconduct, or other matters excluded by applicable law.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless K-POPCORN and its affiliates, employees, contractors, and service providers from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights.

15. Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created risk or legal exposure, engaged in fraud or abuse, or interfered with the Services. Provisions that by their nature should survive termination will remain in effect, including provisions concerning ownership, disclaimers, liability, indemnification, and disputes.

16. Governing Law

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. This choice of law does not deprive you of mandatory consumer protections that apply in your place of residence.

17. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Revised Terms will be posted with an updated "Last updated" date. Material changes will receive additional notice when required by law. Your continued use after revised Terms become effective means you accept the revised Terms, to the extent permitted by law.

18. Severability; Waiver; Assignment

If a provision of these Terms is found unenforceable, it will be modified only as much as necessary or severed, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent; we may assign ours in connection with a business transfer or as otherwise permitted by law.

19. Entire Agreement

These Terms, together with the policies referenced in them and any offer-specific terms, form the entire agreement between you and K-POPCORN concerning the Services and replace prior understandings concerning the same subject.
